Résumé de la thèse

Exigence comportementale en plein essor, le devoir de réaction connaît de nombreuses manifestations : ici, une partie à l’arbitrage est déchue de son droit à contester une irrégularité de constitution du tribunal arbitral pour ne pas s’en être prévalue en temps utile, là un transporteur maritime engage sa responsabilité civile pour ne pas avoir exercé une prérogative contractuelle unilatérale face à un changement de circonstance, tandis qu’un employeur se voit reprocher son absence de réaction face à un cas de harcèlement dans l’entreprise. Ailleurs, la réforme du 10 février 2016 frappe de déchéance le bénéficiaire d’un pacte de préférence qui n’aurait pas répondu à temps à une action interrogatoire et soumet certaines sanctions de l’inexécution à un exercice dans un délai raisonnable. La thèse a pour ambition de proposer une définition du devoir de réaction, d’en dresser le régime et d’en chercher les limites. Le devoir de réaction se définit comme l’exigence faite au contractant de réagir en temps utile face à toute perturbation de l’ordre contractuel par la mise en œuvre appropriée d’un droit subjectif. Partant d’une telle définition, il peut faire l’objet d’une classification selon deux applications : d’un côté, il s’évertue à poursuivre l’efficacité du contrat ; d’un autre, il est une norme de comportement nécessaire à la bonne exécution d’une obligation légale protégeant un intérêt général. Dans tous les cas, le devoir de réaction se révèle un puissant outil d’efficacité : il supprime certaines longueurs inutiles, déjoue des comportements opportunistes et égoïstes, et participe à la moralisation de la vie des affaires. Il rencontre toutefois certaines limites. La menace qu’il fait planer sur les droits subjectifs du contractant et le modèle social qu’il propose conduit à adopter une approche plus nuancée. Pour être acceptable socialement, le devoir de réaction peut se voir opposer quelques limites. Dans son existence d’abord, où il ne saurait être arrimé à des droits auxquels il est impossible de renoncer ni à des délais intenables. Dans sa mise en œuvre ensuite, où son exercice ne doit pas devenir synonyme de brutalité et d’intolérance. Plus généralement enfin, il doit composer avec la nécessité de protéger les droits fondamentaux des contractants et leur besoin de temps, parfois salutaire à la bonne prise de décision et à la gestion de l’imprévu.

The duty to react is a growing behavioural requirement and has many illustrations: a party to arbitration can be deprived of its right to challenge an irregularity in the constitution of the tribunal for not contesting it in time; a maritime carrier can engage its civil liability for not having exercised a unilateral prerogative to deal with a sudden change of circumstances; an employer can be punished for its failure to react to a case of harassment in the company. Furthermore, the reform of February 10th, 2016, sanctions by deprivation the beneficiary of a pact of preference who has not responded in time to an interrogatory action, and the implementation of some remedies are subject to a reasonable time limit. The thesis aims to propose a definition of the duty to react, to set out its regime and to seek its limits. The duty to react can be defined as the requirement that the contractor react in a timely manner to any disturbance of the contract by the appropriate implementation of a subjective right. From such a definition, it can be classified according to two applications: on the one hand, it strives to pursue the efficiency of the contract; on the other hand, it is a standard of conduct necessary for the proper performance of a legal obligation protecting a general interest. In either case, the duty to react is a powerful tool for efficiency: it eliminates some unnecessary lengths, thwarts opportunistic and selfish behaviours and contributes to the moralization of business life. However, it has certain limits. The threat it poses to the subjective rights of the contractor leads to a more nuanced approach. To be socially acceptable, the duty to react may be subject to certain limits. First, in its existence, where it cannot be tied to rights that cannot be renounced, nor to untenable deadlines. Secondly, in its implementation, where its exercise must not become synonymous with brutality and intolerance. More generally, it must deal with the need to protect the fundamental rights of the contractors and their need for time, which is sometimes beneficial to good decision making and to handle the unexpected.
